GenerateAiMusic.com Commercial License Agreement

1. Parties to the Agreement

This Agreement is entered into by and between:

Party A (Licensor): generateaimusic.com (the "Platform")
Party B (Licensee): The Platform's paid users (the "User")

2. Definitions

"Generated Content": Musical works created by the User through the Platform's artificial intelligence technology.
"Commercial Use": Any use, including but not limited to sale, licensing, distribution, adaptation, public performance, or any other activity that directly or indirectly generates economic benefit.

3. Grant of Rights and Ownership (The License)

3.1 Complete Ownership and Perpetual Rights

The Platform hereby grants the User complete, perpetual, and worldwide ownership and unrestricted rights of use for all Generated Content.

3.2 Scope of Rights

The rights granted to the User include, but are not limited to, the unconditional right to:

Use, Copy, Store, and Modify the Generated Content.
Distribute, Publish, and Promote the content across any and all media channels.
Create and Exploit Derivative Works based on the content.
Publicly Display, Perform, and Broadcast the content.
Utilize the Generated Content for Commercial Use.
Sublicense any of the above rights to third parties.
Exercise all rights of ownership in any jurisdiction worldwide.

3.3 Perpetual Commercial Rights

Any Generated Content created while the User's commercial license (subscription) is active shall retain all granted commercial rights and privileges in perpetuity. Such perpetual rights survive the expiration or termination of the subscription period and remain valid indefinitely.

4. User Commitments

The User covenants and agrees to:

Comply with all of the Platform's Terms of Use and policies.
Refrain from using the Generated Content for any illegal, harmful, or defamatory purposes.

5. Platform Warranties

The Platform warrants that it possesses the necessary rights and authorization to provide the services described in this Agreement.

6. Disclaimer and Limitation of Liability

The Platform makes no warranties regarding the quality, merchantability, or fitness for a particular purpose of the Generated Content.
The Platform shall not be liable for any direct, indirect, special, or consequential losses arising from the User's use of the Generated Content.
The User assumes all risks and responsibilities associated with the use and exploitation of the Generated Content.
